Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the SkillyPOS platform operated by SkillyCat ("we", "us", "our"). By registering for or using SkillyPOS, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" — the SkillyPOS cloud-based Point of Sale platform, including all features, APIs, and mobile applications
  • "Organisation" — the business entity (restaurant, hotel, cafe, etc.) registered on the platform
  • "User" — any individual with an account under an Organisation, including owners, managers, cashiers, and staff
  • "Subscription" — a paid or trial plan granting access to the Service
  • "Data" — all business data you enter into the platform, including orders, menus, customers, and inventory

2. Eligibility & Account Registration

  • You must be at least 18 years old and authorised to act on behalf of the Organisation to create an account
  • You agree to provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account and all user accounts within your Organisation
  • Notify us immediately at skillycatofficial@gmail.com if you suspect unauthorised access

3. Free Trial

  • New organisations receive a 14-day free trial with full access to all features
  • No credit card is required to start the trial
  • At the end of the trial period, access is restricted to read-only mode until a paid plan is activated
  • Your data is retained for 30 days after trial expiry — upgrading at any time within this window restores full access instantly
  • We reserve the right to modify trial duration or terms with prior notice

4. Subscriptions & Billing

4.1 Plans

We currently offer the following plans. Pricing is provided on request and may vary based on your business requirements:

  • Starter — 1 branch, up to 5 staff, core POS features
  • Growth — multiple branches and staff, all modules including KDS, inventory, CRM, and hotel
  • Enterprise — unlimited branches and staff, custom integrations, dedicated support

4.2 Payment

  • Subscriptions are billed monthly in advance unless otherwise agreed
  • Payment is accepted via UPI, bank transfer, or payment link shared by our team
  • All fees are non-refundable except as required by applicable law or as expressly stated herein
  • We reserve the right to update pricing with at least 30 days' notice to existing subscribers

4.3 Activation & Access

  • Access is activated within 24 hours of payment confirmation
  • Failure to pay within the grace period (3 days after due date) will result in the account reverting to read-only mode
  • All users within the Organisation are affected simultaneously when a subscription expires

4.4 Cancellation

  • You may cancel your subscription at any time by contacting us
  • Cancellation takes effect at the end of the current billing period
  • No partial refunds are issued for unused days in the current period
  • Upon cancellation, your account enters read-only mode and data is retained for 30 days

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable Indian or international law
  • Attempt to gain unauthorised access to any part of the platform, other organisations' data, or our infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts to scrape, mine, or extract data from the platform
  • Resell, sublicense, or commercially redistribute the Service without prior written consent
  • Upload or transmit malware, viruses, or any code designed to harm the Service
  • Impersonate another person or organisation
  • Use the Service to process transactions for products or services that are illegal in India

Violation of these rules may result in immediate suspension or termination of your account without notice and without refund.

6. Data Ownership & Licence

  • You retain full ownership of all Data you enter into SkillyPOS
  • You grant us a limited, non-exclusive licence to host, process, and display your Data solely to provide the Service
  • We do not claim ownership over your menus, orders, customer records, or any other business data
  • You are responsible for ensuring your Data does not violate any third-party rights or applicable law

7. Service Availability & Modifications

  • We aim for 99.9% uptime but do not guarantee uninterrupted availability
  • Planned maintenance will be announced in advance where possible
  • We reserve the right to add, modify, or remove features of the Service at any time
  • For material changes that reduce functionality, we will provide at least 14 days' notice
  • The offline mode (PWA) allows continued order-taking and cash billing without internet; syncing resumes on reconnection

8. Intellectual Property

The SkillyPOS platform, including its design, code, trademarks, logos, and content (excluding your Data), is the exclusive intellectual property of SkillyCat. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our written consent.

9. Confidentiality

We treat your business data as confidential. Our staff will not access your Data except as necessary to provide support, resolve technical issues, or comply with a legal obligation. Any such access is logged and conducted under strict confidentiality obligations.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • SkillyCat shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service
  • Our total liability for any claim arising from your use of SkillyPOS shall not exceed the amount you paid us in the 3 months preceding the claim
  • We are not liable for losses caused by internet outages, third-party payment gateway failures, or force majeure events
  • The Service is provided "as is" without warranties of fitness for a particular purpose, except as expressly stated

11. Indemnification

You agree to indemnify and hold harmless SkillyCat, its directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Data infringing any third-party right; or (c) any fraud or misuse of the platform by you or your staff.

12. Termination

  • You may terminate your account at any time by contacting us
  • We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay for 30+ days
  • On termination, your Data will be deleted after the 30-day retention window unless you request earlier deletion

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms shall first be attempted to be resolved amicably by contacting us at skillycatofficial@gmail.com. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Kerala, India.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you via email or an in-app notification at least 14 days before material changes take effect. Continued use of the Service after the effective date of revised Terms constitutes your acceptance.
